Legal Question in Business Law in New Jersey

A month ago, I bought a vending machine route with a government contract and 8 vending machines. Seller claimed the business generates $750 a week. I currently have a note with the previous owner. I met with the city's Business Administrator, and he informed me that I must replace 2 vending machines or my government contract will be cancelled due to the poor service provided by the seller. Seller is not willing to restructure the contract and adjust the total price. Could I get out of this contract and get my down payment back?

It will depend entirely on the terms of the agreement or whether this amounts to some bad faith, etc. But in all likelihood, this is not something you are going to be able to get around. That is, you had the right to negotiate terms to cover for unforeseen contingencies. If this amounts to a meaningful amount of money, it might be worth getting some legal help. Sometimes even if you do not have the strongest case, getting a lawyer involved can help bring about a resolution. Again, it really does depend.

It depends on the contract of sale you entered into, the representations that the seller made (oral or in writing) and the amount in deposit.

It's OK if you do not have a "proper" sale contract. emails and text messages and oral representations are all relevant.
