Legal Question in Business Law in New Jersey

Trade Name Certificate and incorporation

I need to perform a trade name search for a new business. This business will encompass setting up businesses in different states. Do I need to have a national name search done on my business name? Can I then send for a corporate set-up myself and maintain annual reports, etc. without an attorney.

Who do I contact to do the trade name search!

Who do I contact to get a corporate book set up?

If you are going to be a multistate operation, you should search the trade name at uspto.gov.us.

You should consider various forms of business entity, especially the Limited Liability Company. My web site has a free section to help you determine the best form of business entity: http://www.taxesq.com/choice.html. You would be wise to have a good tax and business lawyer establish the business entity and help you with the legal minefields.

I hope this helps!

Re: Trade Name Certificate and incorporation

As to New Jersey, A tradename is registered in each County Clerk's Office in which you will be doing business. Aside from the tax aspects which should be investigated with an expert in that area, I suggest you consider other business formats, i.e. Limited Liabiltiy Company vs. Sub S Corporation.
