Legal Question in Intellectual Property in North Carolina

Nda

Both parties' disclosing are established in the State of North Carolina.

Why is the NDA Governing Law; Jurisdiction reads as folows?.... The construction and interpretation of this Agreement and the rights of the parties with respect to its subject matter shall be governed by the substantive laws of the State of Delaware?

The choice of forum for governing the agreement is proposed by the drafter of the agreement. Delaware is chosen since its laws favor corporations in contrast to individuals.

You may disagree with this forum and since both of you are in North Carolina, I would suggest you use that as the forum for the agreement.

Because Delaware has the best developed judicial system for corporate law and its corporate law is followed by the large majority of large businesses. Nothing suspicious about this designation.
