Selling an Asset of my business

I want to know if I purchase an Asset Purchase Agreement Template from an online provider, Find Legal Forms will I need any additional legal documents to consider the sale legal and binding? A caveat of the negotiated terms is that the purchaser is providing an initial deposit and then making payments to me for two years and I want to make sure that they are legally obligated to pay me the full amount, no getting out of paying the fees if business dries up or they decide not to use the asset they are purchasing from me. I'm selling an event, not my business. So it's name recognition of the event, soft/hard copy documents, banners, a database, 10 hours of consulting from me, etc. Any advice would be greatly appreciated. Thank you.

The law of contracts in Oregon is pretty much the same as most other states. If a lot of money is involved, you should consult an Oregon attorney, however.

From what you have written, your terms would be enforceable in Oregon.
