Can I resign from my corporation?

If anyone can help answer this I'll be forever grateful.

I started a corporation with my co-ceo in Indiana. He handled all the business paperwork. Then he turned out to be a weasel who didn't live up tyo his obligations.

Now I want to resign from the company and he tells me that I can't, because he would have to agree. Is this true?

I have asked to speak to our attorney ten times via email, but he won't tell me our attorney's name or phone number. I suspect there never was an attorney at all, and he evades this question when I ask.

Does he have to sign off on my resignation if I have it notarized and send it to him? Will I have to worry about legal repercussions later?

First, there are so many things that sound so very wrong in your scenario that I suggest that you get an attorney to protect yourself from possible liabilities.

Second, get a copy of your by-laws and that should set out how you need to get of the corporation. If he tells you there are no by-laws, see the first paragraph above.

Third, check with the Indiana Secretary of State to see if the company was actually incorporated. If not, see first paragraph above.
