Registered agent submitting annual report

Hi,

My accountant is my registered agent currently and he sent me a letter from the State of NJ, saying they're phasing out paper annual reports and now I have to submit annual reports online and have until september 30th to do it. In the note he enclosed, he also suggested changing the address of record.

My questions:

1) Isn't it the registered agent's responsibility to file the annual report?

2) Wouldn't I HAVE to use his address (currently listed) if he's the registered agent?

It doesn't sit well with me, and I'm looking for a lawyer in bergen county (hudson, essex, or passaic are ok too) to deal with annual reports and whatever filing needs to be done, and also to serve as my registered agent.

I can only refer you to an attorney in Middlesex off the top of my head. I've read Mr. Kozyra's answers in the past and I have no reason do doubt that he will be able to help you, so you may want to call him first.

First, it is unusual for an accountant to be the Registered Agent. Frequently, it is best to have an attorney be the Registered Agent and Office so if any law suits are filed, your attorney will get notice.

Because NJ is going to online filing, many clients act as their own registered agent and office. It is the duty of the Corporation or LLC to submit the annual registration.
