Legal Question in Business Law in New Jersey

Selling a Recipe Idea to a Company

Hi,

I have a new recipe idea which i would like to sell to a company. I would appreciate any advice on how to go about it because I have no idea. Will a non-disclosure agreement before having the talks be binding? Also who should be approached in the company? Kindly advice. Thanks a ton in advance.

Re: Selling a Recipe Idea to a Company

A non-disclosure agreement would be binding but I doubt that a large company would agree to one unless your product had a proven track record. You can try. Most established companies have their own procedures for intake of ideas and they generally promise nothing.

Recipes are not patentable but they are copyrightable. Unfortunately, the copyright does not protect the idea, just its form of expression.

Commercial recipes are protected by trade secret and NDAs.

Approach the company without making a disclosure. See what they require. Show the agreement to your lawyer for futher advice.
