Legal Question in Business Law in Florida

I am buying the rights to a company name, software, and the shared use of a website and a server. The guy only wants a one time payment. Technically I'm not a 'franchisee' We are different companies with the same name and shares a server/website. How can I put this into a contract without killing my ability to expand in the future and avoid a lawsuit if he gets sued?

You need your lawyer (who should be someone knowledgeable in trademark and franchise law) to write these contracts (notice the plural).
