Past due sales tax libilaties

My question is I am in the process of selling my business and I owe past due sales tax. I am in contact with the Dept of Rev and work to settle this. However the future owner is worried that my past due sales tax will be their responability. They will have their own tax id # and since this is a consignment the items for sale are not owned by the business and the shop is rented and is not a part of this sale. We will have a binding contract signed by both parties and notarized stating that I will be liable and responable for past due sales tax. Is that all I need to inclued in the contract to be sure I am excepting full responability for this?
