Legal Question in Business Law in New Jersey

I'm a part of a 2 member LLC in New Jersey and I want to get out and as I read on your answers for other questions that a member can resign at any time .Consodering that bother partner agreed on the break up how can I resign from this two member llc ?

The best way to get out is to have a tax and business attorney review:

1. Certificate of Formation

2. Operating Agreement

3. Buy/Sell Agreement (if separate from the Operating Agreement.)

4. Last 2 or 3 years' 1065 US Partnership Income Tax Return. If for some reason you elected to be taxed as a corporation, you would have an 1120 or 1120S.

The attorney can then tell you the steps necessary to dissolve the LLC and the tax consequences.
