You can sue for breach of contract. The question of where the suit should be filed depends upon several factors for which you haven't provided sufficient information, but generally there are circumstances under which the action could be initiated in either New Jersey or New York.

A corporation is a legal entity and can bring suit like any person. The state of incorporation does not limit where suit may be brought.

It may be possible to file that lawsuit in New Jersey or in New York; I can not tell from the info you gave.

I will just add that whether you are defending the lawsuit or bringing the lawsuit, you really need a lawyer to assist. You will be at a huge disadvantage if you do not, and you may have additional problems. In New Jersey, I know that corporations MUST have a lawyer represent them.
